By accessing or using IDLE (idle.business) (the "Platform"), operated by Dima Black Production LLC ("IDLE," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
IDLE is a B2B/B2C marketplace that allows businesses ("Merchants") and individuals ("Customers") to exchange services using an internal points currency called "Idles" (1 Idle = $1 in reference value). IDLE provides the technology, ledger, and marketplace infrastructure connecting Merchants and Customers. IDLE is not a party to, and assumes no responsibility for, any service rendered between users.
You must be at least 18 years old to create an account. Merchant accounts require submission of business verification information (legal business name, EIN or equivalent tax identifier, business address, website, category of service, and any supporting documentation IDLE may request) and are subject to manual review and approval at IDLE's sole discretion. Customer accounts are activated immediately upon registration and do not require business verification.
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to provide accurate, current, and complete information and to keep it updated. IDLE may suspend or terminate any account at its sole discretion, with or without notice, for any violation of these Terms or for any other reason.
(a) One (1) Idle equals one ($1.00) U.S. dollar in reference value for pricing services on the Platform. Idles are not legal tender, are not redeemable for cash except as expressly described in these Terms, and have no value outside the Platform.
(b) Earned Idles.Idles received by a Merchant for providing a service to another user ("Earned Idles") may only be spent within the Platform and can never be redeemed, exchanged, or cashed out for any monetary value. Earned Idles expire, and are automatically and permanently forfeited, six (6) months after the date they were earned, applied on a first-in, first-out basis. IDLE will provide reminder notifications prior to expiration where reasonably practicable, but expiration occurs automatically regardless of whether a reminder was received.
(c) Purchased Idles.Idles purchased with real currency through a supported payment processor ("Purchased Idles") do not expire. Purchased Idles may be refunded if unused, subject to Section 9 below.
(d) Customers may never earn Idles under any circumstance; Customer accounts can only hold Purchased Idles.
(e) IDLE reserves the right to modify the Idles system, including reference values, expiration policy, and spending caps, at any time. Material changes will be communicated through the Platform.
Merchant accounts are subject to a default spending cap on accumulated Earned Idles (currently 400 Idles). Upon reaching the cap, a Merchant's account automatically pauses acceptance of new orders until the balance is reduced. Merchants may request a cap increase through the Platform, subject to approval.
IDLE manually reviews all Merchant applications. IDLE may decline, suspend, or revoke Merchant status at its sole discretion and is under no obligation to approve any application or provide a reason for declining one.
IDLE IS SOLELY A NEUTRAL TECHNOLOGY PLATFORM CONNECTING INDEPENDENT MERCHANTS AND CUSTOMERS. IDLE IS NOT A PARTY TO, DOES NOT GUARANTEE, AND ASSUMES NO RESPONSIBILITY WHATSOEVER FOR ANY SERVICE, AGREEMENT, TRANSACTION, OR DISPUTE BETWEEN USERS. All aspects of a service exchange — including quality, safety, legality, scheduling, delivery, and performance — are solely the responsibility of, and solely between, the Merchant and the Customer (or other Merchant) involved. IDLE has no obligation to mediate, investigate, or resolve any dispute between users, though it may do so voluntarily at its sole discretion.
Purchased Idles that remain unused may be refunded upon request, subject to verification and any applicable payment processor terms and fees. Earned Idles are never refundable or convertible to cash under any circumstance.
You agree not to: provide false information; attempt to manipulate, exploit, or accumulate Idles without legitimately providing services; harass, defraud, or threaten other users; upload unlawful, infringing, or inappropriate content; interfere with the security or operation of the Platform; or use the Platform for any unlawful purpose.
Reviews, photos, and other content you submit ("User Content") remain yours, but you grant IDLE a worldwide, royalty-free, non-exclusive license to host, display, reproduce, and distribute that content on and in connection with the Platform. IDLE may remove or moderate any User Content, including through automated review, at its sole discretion, for any reason.
Your representations. You represent and warrant that you own or have all necessary rights, licenses, and permissions to the User Content you submit, upload, or approve, and that such content does not infringe or violate the copyright, trademark, privacy, publicity, or other rights of any third party. This includes any content that IDLE tools generate or assemble from materials or sources you provide or direct us to use (for example, a business website, menu, or uploaded files): when you review and approve such content for use on your profile or listings, you adopt it as your own User Content and confirm you hold all rights necessary to use and display it on the Platform.
Copyright complaints. IDLE responds to notices of alleged copyright infringement and terminates repeat infringers in appropriate circumstances, in accordance with our Copyright / DMCA Policy.
By providing your phone number, you consent to receive transactional text messages from IDLE related to your orders and account activity. Message frequency varies based on your activity. Message and data rates may apply. Reply STOP to opt out at any time, or reply HELP for assistance. IDLE and its messaging carriers are not liable for delayed or undelivered messages.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IDLE DOES NOT WARRANT THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY SERVICE OFFERED BY ANY MERCHANT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IDLE, DIMA BLACK PRODUCTION LLC, OR THEIR OWNERS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR IDLES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, ANY TRANSACTION OR DISPUTE BETWEEN USERS, OR ANY SERVICE PROVIDED OR RECEIVED THROUGH THE PLATFORM. TO THE EXTENT ANY LIABILITY CANNOT BE LAWFULLY DISCLAIMED, IDLE'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO IDLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00).
You agree to defend, indemnify, and hold harmless IDLE, Dima Black Production LLC, and their owners, officers, and employees from any claim, demand, loss, or liability, including reasonable attorneys' fees, arising out of or related to: your use of the Platform; your violation of these Terms; any service you provided or received through the Platform; or any dispute between you and another user.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. YOU AND IDLE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. This arbitration agreement is governed by the Federal Arbitration Act.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where superseded by the Federal Arbitration Act as described above.
IDLE may modify these Terms at any time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
